Terms of Use

VisionWorks Event Platform

These Terms of Use (“Terms”) govern access to and use of the VisionWorks Event Platform (“Platform”), operated by Fazaks Ltd trading as VisionWorks (“VisionWorks”, “we”, “us”, “our”).

The Platform is made available through underthetree.online and any other current or future domains, subdomains, or branded instances that utilise the Platform.

By accessing or using the Platform, creating an account, or participating in events delivered through the Platform, you agree to these Terms.

1. Platform Structure and Roles

  1. Platform Provider. VisionWorks provides the underlying technology platform, infrastructure, and supporting services.
  2. Event Organisers. Events, libraries, communications, and content made available through the Platform may be operated by third parties, including trusts, community groups, or individuals (“Event Organisers”).
  3. Allocation of responsibility.
    • VisionWorks is responsible for the operation and security of the Platform itself.
    • Event Organisers are solely responsible for event delivery and operations, participant communications and notices, content selection and licensing, recordings and consent, library and asset lending, and compliance with applicable laws.
    VisionWorks does not operate or supervise events unless explicitly stated.

2. Eligibility

  1. The Platform is not intended for use by individuals under 16 years of age.
  2. Users under 16 must not create accounts or use the Platform.

3. Accounts and Security

  1. You must provide accurate information and keep your account details up to date.
  2. You are responsible for all activity under your account and for maintaining the confidentiality of login credentials.
  3. VisionWorks may suspend or terminate access where necessary to protect the Platform, comply with law, or enforce these Terms.

4. Library and Asset Lending

  1. The Platform may support libraries or inventories of physical or digital items made available by Event Organisers (“Library Items”).
  2. Borrower responsibility. Users borrowing Library Items are responsible for returning items on time, maintaining reasonable care, and complying with organiser rules.
  3. No recovery guarantee. VisionWorks may record lending and return status but does not guarantee recovery of items and is not responsible for loss, damage, disputes, or enforcement.
  4. Liability. All liability relating to lending, loss, damage, or replacement of Library Items rests with the Event Organiser and/or borrower, not VisionWorks.

5. Location Services

  1. The Platform may support GPS or approximate location services for operational features.
  2. You consent to location collection by enabling location access on your device or browser.
  3. Location data accuracy depends on third-party services and device settings. VisionWorks is not liable for reliance on location information.

6. Recording, Transcription, and AI Processing

  1. The Platform supports audio recording and AI-assisted transcription.
  2. Responsibility for consent. The person initiating a recording, and/or the relevant Event Organiser, is solely responsible for notifying participants, obtaining all required consents, and complying with the Privacy Act 2020 and any applicable recording or surveillance laws.
  3. Warranty and indemnity. Users and Event Organisers warrant that all necessary consents have been obtained and indemnify VisionWorks against claims arising from recording or transcription.
  4. VisionWorks does not monitor, validate, or enforce consent processes.
  5. Best-efforts transcription. Transcriptions are generated automatically using AI-powered speech recognition and are provided on a best-efforts basis only. Accuracy may vary due to audio quality, accents, background noise, technical terminology, and proper nouns (including scripture references and names). Transcripts must not be relied upon as a verbatim or official record of any recording, proceeding, sermon, or event. VisionWorks accepts no liability for errors, omissions, or inaccuracies in automatically generated transcripts.

7. Lyrics Streaming and Music Licensing

  1. The Platform may provide lyrics-only display or streaming functionality.
  2. No audio playback. VisionWorks does not provide music audio streaming or playback services.
  3. Licensing responsibility. All responsibility for music licensing, public performance rights, and copyright compliance rests solely with the Event Organiser or user who chooses to display, perform, or otherwise use music or lyrics.
  4. VisionWorks does not verify licensing, does not warrant lawful use of lyrics for any event, and is not liable for copyright infringement arising from event content choices.

8. Electronic Communications and Mail-outs

  1. The Platform may support electronic communications, including emails and notifications (“Communications”).
  2. VisionWorks will make reasonable efforts, at a platform level, to support consent-based communications where practicable.
  3. Consent responsibility. Any user or Event Organiser who uploads contact details, adds recipients, or initiates Communications warrants that the recipient has provided valid consent or the Communication otherwise complies with applicable law, including the Unsolicited Electronic Messages Act 2007.
  4. VisionWorks does not independently verify consent and relies on the warranties of users and Event Organisers.
  5. Users and Event Organisers indemnify VisionWorks against claims, penalties, or losses arising from unlawful Communications.

9. User Content and Data Use

  1. You retain ownership of content you submit.
  2. You grant VisionWorks a non-exclusive, royalty-free licence to use content solely to operate, secure, and improve the Platform.
  3. VisionWorks may use aggregated and de-identified data for analytics, research, and innovation.

10. Acceptable Use

  1. You must not infringe privacy or intellectual property rights, misuse recording/location/communication features, or upload unlawful, misleading, or harmful content.

11. Disclaimers

  1. The Platform is provided “as is” and “as available”.
  2. VisionWorks disclaims warranties regarding transcription accuracy, AI outputs, location accuracy, licensing compliance, recovery of library items, and event operations.

12. Liability and Consumer Guarantees

  1. Consumer Guarantees Act. Where the Platform is used for business purposes, the parties agree the Consumer Guarantees Act 1993 does not apply, to the extent permitted by law.
  2. Liability cap. VisionWorks’ total liability is limited to the fees charged in a single billing period immediately preceding the event giving rise to the claim. Where no fees were charged (beta/free), liability is limited to NZD $0, to the extent permitted by law.
  3. VisionWorks is not liable for event operations, licensing failures, recording consent failures, communication consent failures, or loss/damage of library items.

13. Indemnity

  1. Users and Event Organisers indemnify VisionWorks against claims arising from events they operate, content or licensing choices, recordings or communications, and lending or borrowing activities.

14. Termination

  1. VisionWorks may suspend or terminate access to protect users, comply with law, or enforce these Terms.

15. Governing Law

  1. These Terms are governed by the laws of New Zealand.
